Filing with Companies House
Our partner submits the incorporation application (IN01) and pays the official fee.

Your company is formed
The Certificate of Incorporation and company number are uploaded to your dashboard. Companies House decides most online applications within 24 hours; timing is not guaranteed.
§ 02 — Legal requirements
What the law requires to incorporate.
Mandatory elements under the Companies Act 2006 and the Economic Crime and Corporate Transparency Act 2023. If any requirement is missing, the company cannot be filed.
- Director
- At least one natural person aged 16 or over. No UK residency requirement.
- Shareholder
- At least one shareholder; this can be the same person as the director.
- Person with significant control (PSC)
- Anyone holding more than 25% of shares or votes, or otherwise controlling the company, must be disclosed.
- Identity verification
- Mandatory for every director and PSC; the incorporation filing requires each Companies House personal code.
- Registered office address
- Must be an "appropriate address" in England or Wales where official documents can be received. PO boxes are not accepted.
- Registered email address
- Provided to Companies House; it is not made public.
- Lawful purpose statement
- The incorporation filing confirms the company is being formed for a lawful purpose.
- Company name
- Must end with "Limited" or "Ltd" and cannot be the same as an existing company. Some words need prior approval.

§ 04 — After formation
Your obligations once the company exists.
These obligations are the director's responsibility. The information below is general information, not tax advice.
- Confirmation statement
- At least once a year, you confirm the company's details with Companies House. Official fee £50.
- Annual accounts
- First accounts are due within 21 months of incorporation; later accounts within 9 months of the end of each financial year.
- Corporation Tax
- Register with HMRC within 3 months of starting to do business. Tax is paid 9 months and 1 day after the period ends; the return is due within 12 months. Rates range from 19% to 25% depending on profits.
- VAT
- Registration is required once taxable turnover exceeds £90,000. If the company is not actually managed in the UK, HMRC may treat it as non-established, in which case registration may be required without any threshold.
- Public information
- Directors' and PSCs' names, nationality, country of residence, month and year of birth, and service address are published on the Companies House register. Your home address is not published if you provide a service address.
- Tax in your home country
- If the company is effectively managed from another country, it may also be taxable there. We recommend consulting a tax professional before you set up.
Bank accounts and payment providers: you apply to licensed banks and payment institutions in your own name with your UK company. Account approval is not guaranteed; each institution decides based on its own criteria.

Companies House filings, identity verification, and the registered office address are provided by our partner xxx (company no. xxx), an Authorised Corporate Service Provider (ACSP) registered with Companies House and supervised for anti-money laundering by xxx.
