Terms of Service

1. Parties and acceptance
These Terms of Service (the "Terms") govern the relationship between Atlantic Formations LLC (registered address: 30 N Gould St Ste R, Sheridan, WY 82801, USA; the "Company", "we", "us"), which operates the Atlantic Formations platform available at https://atlanticformations.com, and the individual or legal entity using our services (the "Customer", "you"). By using the site, creating an account, or placing an order, you are deemed to have accepted these Terms. If you do not accept them, please do not use our services.
1.1 Eligibility
- You must be at least 18 years old and have legal capacity to enter into a contract. If you act for a company or another person, you confirm that you are authorized to do so.
- We do not serve residents of countries or regions subject to comprehensive sanctions, or persons on sanctions lists. The list is in our Acceptable Use & Compliance policy.
- In the UK, undischarged bankrupts and disqualified directors may not act as directors without court permission. Directors must be natural persons aged 16 or over.
2. Description of services
Atlantic Formations provides the preparation and submission of company formation filings to the relevant authorities in the United States and the United Kingdom (England & Wales), EIN application facilitation, registered agent service, business address and mail scanning, annual compliance filings, and related administrative support services. Our services are in the nature of document preparation and filing facilitation.
2.1 UK (Ltd) services
- UK incorporations are submitted to Companies House by our partner xxx (company no. xxx), an Authorised Corporate Service Provider (ACSP) registered with Companies House and supervised for anti-money laundering by xxx. The registered office address, director service address, and mail services are also provided by this partner. Atlantic Formations prepares your application, tracks the process, and supports you.
- Under the Economic Crime and Corporate Transparency Act 2023, every director and person with significant control (PSC) must complete Companies House identity verification. The company cannot be filed until verification is complete.
- Part of the information in the incorporation filing (directors' and PSCs' names, nationality, country of residence, month and year of birth, and service address) is published on the public Companies House register. This is a legal requirement that we cannot prevent.
- Preparing annual accounts and filing Corporation Tax and VAT returns are not part of our services; you need a qualified UK accountant for these.
- If the registered office service ends, or is terminated because of a breach of these Terms, the director is responsible for changing the company's registered office address at Companies House. If the address is not changed, our partner may remove its address from the register using the procedures Companies House allows; in that case an address you previously gave us may appear on the public register.
2.2 Limits of the service — important
- Atlantic Formations is not a law firm and does not provide attorney services, legal opinions, or legal advice.
- Atlantic Formations is not an accounting or tax advisory firm; tax-related content on the site is for general information only and does not constitute personal tax advice.
- Atlantic Formations is not a bank or financial institution; we do not hold, manage, or transfer customer funds. Banking and payment services are provided solely by the relevant licensed third parties (e.g., Mercury, Wise, Stripe, PayPal) under their own terms, and we have no authority over those institutions' decisions.
- The processing times, decisions, and policy changes of government agencies (state secretaries of state, the IRS, FinCEN, Companies House, HMRC, etc.) are outside our control.
- We do not guarantee that a bank account or payment account (Stripe, PayPal, etc.) will be opened. Whether to accept your application is entirely the decision of the relevant institution.
2.3 Authorization and electronic approval
By placing an order, you authorize us — and, for UK incorporations, our partner — to prepare, sign as organizer or authorized person, and submit formation and post-formation filings on your behalf, based on the information you approve. We show you a summary of the filing beforehand, and it is submitted only after your approval. Approval given electronically (on the site, in the dashboard, or by email) is sufficient.
2.4 Registered agent, address, and mail services
- A U.S. company is legally required to have a registered agent at all times. The registered agent service lasts 12 months and does not renew automatically; we send you a reminder at least 30 days before it ends. If it is not renewed, the agent may resign with the notice required by state law. Appointing a new agent is then your responsibility; if none is appointed, the company may fall out of good standing with the state.
- Official notices and service of process received by the registered agent are forwarded to you promptly by email and through your dashboard. We are not responsible for consequences arising from outdated contact details.
- If you purchase an address and mail service, you authorize us to open and scan letters addressed to your company and deliver them to you digitally. Originals are kept for 7 days and then securely destroyed. Physical forwarding is available on request, with the shipping cost quoted in advance.
- Mail is accepted only in the registered company name. We do not accept cash, valuables, illegal or hazardous contents, or parcels heavier than 5 kg or larger than 50 × 50 cm. One address service may be used for one company only.
- Under U.S. Postal Service (USPS) rules, a U.S. mailbox address may require a completed and notarized PS Form 1583 and two forms of identification.
- Unless our partner's terms state otherwise, the UK registered office and service address may not be used as a trading address or as the principal place of business for VAT registration.
2.5 Third-party services
Services of third parties such as the registered agent, our UK partner, banks, and payment providers are also subject to their own terms. Amounts we collect on their behalf are passed on to them; we are not separately responsible for their decisions or service quality. Situations caused by our own error are covered in the Refund Policy.
3. Orders, prices, and payment
Service fees are published on the site and, unless stated otherwise, are one-time charges. Published package prices include the government fees specified; the scope is clearly listed on each package's page. Submitting an application through the site is free of charge and does not create a payment obligation. Payments are collected — after your application — via a secure payment link through licensed payment institutions, by credit or debit card, or by bank transfer; your card details never reach us and are not stored on our systems. The final amount charged is the amount you confirm on the payment page.
Services subject to annual renewal (registered agent, business address, etc.) do not renew automatically; we notify you as the renewal period approaches, and renewal takes place only upon your approval and payment.
Post-formation services: Additional services such as EIN applications, annual report filings, or registered agent renewals are requested individually. For each request we send a separate payment link or invoice showing the service name, scope, and amount. We do not operate prepaid balances, wallets, or hold funds on account; you pay only for the specific service you request.
Card payments appear on your statement as ATLANTIC FORMATIONS.
4. Customer representations and obligations
- You represent that all information and documents you provide to us are accurate, current, and your own. The Company cannot be held liable for delays, rejections, or damages arising from inaccurate information.
- You agree to use our services solely for lawful purposes and not for money laundering, terrorist financing, fraud, sanctions violations, or any other unlawful activity. Identity verification, sanctions screening, and the activities we do not form companies for are set out in our Acceptable Use & Compliance policy, which forms an integral part of these Terms.
- You are responsible for checking that your chosen company name is available and does not infringe anyone else's trademark or trade name. Once the filing is submitted, the company name, state, and entity type cannot be changed except through a separate official filing at additional cost.
- If you do not provide the information or documents we need to complete the filing within 30 days, we may cancel the order after two reminders. Any refund follows the Refund Policy for the stage the order has reached.
- To meet our legal obligations, we may need to re-verify your identity or company information while the service continues. You must tell us if the company's ownership, directors, business activity, or your contact details change.
- Ultimate responsibility for your company's post-formation legal obligations (annual reports, tax filings — e.g., Form 5472 and pro forma 1120 for foreign-owned single-member LLCs —, BOI reports where required; for UK companies, confirmation statements, annual accounts, Corporation Tax registration and returns, keeping PSC information up to date, etc.) rests with you. Our reminder services do not eliminate that responsibility.
- You agree to provide the documents requested as part of identity verification (KYC) processes. We reserve the right to decline suspicious or unverifiable applications and to terminate the service with a refund of fees paid.
5. Service timelines
Timeframes stated on the site (e.g., "1–3 business days") are estimates based on past experience; they may vary with government agency workloads and do not constitute a guarantee. In the event of a delay, we will inform you and continue to monitor the process.
6. Refunds and cancellation
Refund conditions are set out in detail in our Refund Policy, which forms an integral part of these Terms. In summary: if you cancel before we file with the state, you receive a full refund; once government fees have been paid, those fees are non-refundable.
7. Intellectual property
All content, designs, logos, and software on the site are owned by or licensed to Atlantic Formations LLC; they may not be copied or used for commercial purposes without written permission. Company documents prepared on your behalf belong to you.
8. Limitation of liability
To the maximum extent permitted by applicable law: (a) our services are provided "as is"; (b) we are not liable for indirect, incidental, punitive, or consequential damages (including lost profits, lost business, or reputational harm); (c) in any event, our total aggregate liability is limited to the amount you actually paid us for the service giving rise to the claim. We are not responsible for the decisions and actions of third-party institutions (banks, payment providers, government agencies).
Some jurisdictions do not allow certain limitations of liability; in that case, the relevant limitation applies to you to the maximum extent legally permissible. The mandatory statutory rights of customers who qualify as consumers are reserved.
9. Indemnification
You agree to indemnify the Company for damages, costs, and third-party claims arising from your breach of these Terms, your provision of inaccurate information, or your unlawful use of the services.
10. Accounts and termination
You are responsible for the security of your account (including your password). In the event of a breach of these Terms, misuse, or legal requirement, we may suspend or close your account; fees for incomplete and unused services are refunded in accordance with the Refund Policy.
11. Electronic communications
We send notices to the email address on your account and to your dashboard. A notice sent to that address is deemed received; keeping your email address up to date is your responsibility. Only act on a message asking for payment or identity documents if it comes from an @atlanticformations.com address or your dashboard.
12. Force majeure
We are not liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, war, epidemics, strikes, government agency shutdowns or system outages, or changes in law. We will inform you as soon as possible. If the event lasts more than 30 days, you may cancel services that have not started and receive back the fees for those services.
13. Complaints
Send complaints to [email protected] with the subject "Complaint". We acknowledge complaints within 2 business days and send a written response within 14 days at the latest. If you are not satisfied with our response, your right to contact the consumer bodies in your country of residence is reserved.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-laws rules. The parties will first attempt to resolve disputes through good-faith negotiation. For disputes that cannot be resolved, the state and federal courts of Wyoming have jurisdiction. The rights of consumers under the mandatory consumer protection provisions of their country of residence are reserved.
15. Changes
We may update these Terms from time to time. We announce material changes on the site and/or by email; changes take effect from the date of publication. Continued use of the service after a change constitutes acceptance of the updated Terms. Changes do not affect, to your detriment, services you paid for before the change.
16. General provisions
- These Terms, together with the Refund Policy, the Acceptable Use & Compliance policy, the Privacy Policy, and the Delivery & Service Process page, form the entire agreement between us.
- If any provision is held invalid, the remaining provisions stay in effect.
- Our not exercising a right does not mean we waive it.
- You may not transfer your rights under this agreement without our written consent. We may transfer it to a company that takes over our business, and we will notify you if we do.
- The limitation of liability, indemnification, payment, and dispute provisions survive the end of the agreement.
- If the Turkish and English versions conflict, the English version prevails, without prejudice to consumers' mandatory rights.
